1. Acceptance of Terms

Welcome to Nonstop Log - Personal Activity Log (PAL). These Terms of Use ("Terms") govern your access to and use of our car sales activity logging software service (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Nonstop Log - PAL provides a cloud-based car sales activity logging and management system designed for automotive sales professionals. The Service allows you to:

  • Log and track sales activities
  • Generate reports and analytics
  • Set and track your monthly sales goals
  • Export data in various formats

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Registration and Account

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access

3.2 Account Security

You are responsible for all activities that occur under your account. We recommend enabling two-factor authentication (2FA) for additional security. You must:

  • Use a strong, unique password
  • Not share your account credentials with others
  • Log out when finished using the Service
  • Report security breaches immediately to support@nonstoplog.com

3.3 Age Requirement

You must be at least 18 years old to use this Service. By using the Service, you represent that you meet this age requirement.

4. User Conduct and Responsibilities

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for fraudulent or illegal purposes
  • Scrape, data mine, or use automated tools to access the Service without permission
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity
  • Collect or store personal data about other users without consent
  • Collect or store personal data about your customers without consent
  • Use the Service to send spam or unsolicited communications
⚠️ Compliance Notice:Nonstoplog PAL is not a customer management platform and does not allow storing of customer information. You are responsible for ensuring your use of the Service complies with all applicable data protection laws, including CCPA, when storing customer information.

5. Data and Content

5.1 Your Data

You retain all rights to the activity data and content you upload to the Service ("Your Data"). You grant us a limited license to process, store, and display Your Data solely for the purpose of providing the Service to you.

5.2 Data Accuracy

You are responsible for the accuracy, quality, and legality of Your Data. You represent that you have obtained all necessary permissions and consents to collect and store any information.

5.3 Data Security

We implement industry-standard security measures to protect Your Data, including:

  • SSL/TLS encryption for data transmission
  • Regular security audits and monitoring

5.4 Data Backup and Recovery

We perform regular backups of all data. However, you are responsible for maintaining your own backups of critical data. We are not liable for any data loss, though we will make reasonable efforts to restore data from backups.

5.5 Data Portability

You may export Your Data at any time using our built-in export features. We support CSV and other standard formats for data portability.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

  • We do not sell or share your data with third parties
  • You can request data export or deletion at any time
  • We comply with CCPA, and other data protection regulations

7. Fees and Payment

7.1 Subscription Plans

Nonstoplog - PAL offers the following subscription options:

  • Free Trial: 30-day trial with full features (no credit card required)
  • Monthly Plan: $5.75 per user per month, billed monthly
  • Annual Plan: $59.00 per user per year, billed annually (save $10.00)

Note: Pricing is subject to change with 30 days notice to existing customers.

7.2 Payment Terms

  • All fees are in U.S. Dollars (USD)
  • Subscription fees are charged in advance
  • Payments are processed through secure third-party payment processors
  • We do not store your credit card information on our servers

7.3 Refund Policy

Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rated basis within 30 days of purchase. Contact support@nonstoplog.com for refund requests.

7.4 Late Payment and Suspension

If payment fails, your account may be suspended after 7 days. You will receive email notifications before suspension. Access to your data will be restored upon successful payment.

8. Intellectual Property

8.1 Our Rights

The Service, including all software, designs, text, graphics, logos, and other content (excluding Your Data), is owned by nonstoplog and protected by copyright, trademark, and other intellectual property laws.

8.2 License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms.

8.3 Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices
  • Resell, sublicense, or redistribute the Service

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and implement such feedback without compensation to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support@nonstoplog.com. Upon termination:

  • Your subscription will not renew
  • You will have 30 days to export your data
  • After 30 days, your data may be permanently deleted
  • You will not receive a refund for any prepaid fees (except as specified in Section 7.3)

9.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

9.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy, reliability, or completeness of content

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be available at all times
  • Defects will be corrected
  • The Service is free from viruses or harmful components

You use the Service at your own risk. We recommend maintaining your own backups of important data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Nonstoplog - PAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or unavailability
  • Data loss or corruption
  • Unauthorized access to your account
  • Errors or inaccuracies in content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nonstoplog - PAL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Data or content you submit
  • Your violation of applicable laws or regulations

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email at least 30 days before changes take effect
  • Post a notice on the Service

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of CA, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Informal Negotiation: Contact us first at support@nonstoplog.com to resolve disputes informally
  2. Mediation: If informal negotiation fails, disputes may be submitted to mediation
  3. Arbitration: Binding arbitration in Sacramento, CA under the rules of the American Arbitration Association

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration.

14.4 Venue

If arbitration is not applicable, you agree that any legal action shall be filed in the state or federal courts located in Sacramento, CA and you consent to the jurisdiction of such courts.
